Minutes of the Meeting of CA World Service Office Board of Directors

February 9, 2012

I. Opening – Meeting called to order with the “we” version of the Serenity Prayer at 7:00 p.m. by Chair Teresa N.

II. Tradition 4 – read by Bob C.

III. Concept 4 – read by Kathy Jo

IV. WSM, pg. 68 – read by Elizabeth S.

V. Birthdays – none

VI. Roll Call and Quorum Determined

A. Voting members present: Teresa N. (WSOB – Chair), Elizabeth S. (WSOB Vice Chair), Linda F. (DOO), Peter D. (WS Trustee), Richard L. (WSO Trustee), Bob C. (Director at Large), Janice C. (Director at Large) A quorum is established

B. Board Members Absent: Susan D. (Secretary), Barry J. (WSOB Treasurer)

VII. Guests Reports – Jimmy P. visiting, wants to let us know he’s interested in DAL when it comes open again. Kathy Jo. is secretary for the 2014 CAWS Convention in Long Beach. Linda F. made motion to suspend the order of business to take the Convention business, Richard L. seconded. Kathy Jo submitted proposed additions to Convention Guidelines, adding Spending Committee Section. After some discussion, Bob C. asked that we have a chance to look at the proposed changes more closely and put it on our agenda for 02/23/2012.

VIII. On-line Business – January 27, 2012, Barry J. made a motion to reconsider the motion approved at the 01/26/2012 WSOB meeting, to change the date of the drawing for the United Fellowship Fundraising Opportunity Drawing to March 17, 2012 at SGPVCA area convention. Susan D. seconded. Motion to reconsider passed. Then the original motion was re-voted on : Richard L. motions for the winner of the United Fellowship Fundraising Opportunity Drawing be announced March 17, 2012 at SGPVCA area convention. Peter D. seconded. Motion failed.

C. Publications projects

1. French publications – nothing new

2. HFCII – Nothing new, being typeset. Elizabeth believes we need to call the attorney regarding what we’ll call HFCII revision. Lots of discussion about whether we should say international version, or 2nd printing, revised edition. Linda will ask the attorney, and says we’re working on a revised full run in maybe 2013 or 2014.

D. Vendor Licensing Agreements – 1 new renewal with jewelry guy. Linda will get name from Sheila.

E. Royalty Agreements – No action

X. Approve minutes of the Previous Meeting – January 26, 2012 – Motion tabled until we can get some clarity, from the December 2011 minutes, about the French publications and what the WSBT actually asked us to put on hold.

A. Translations – Elizabeth, Richard, Teresa

1. Reaching Out to the Deaf – nothing new. Teresa says Susan is waiting to hear from Russell.

B. Updates – Elizabeth S. is in communication with Monica from Holland regarding “The Home Group”, “Who’s a C.A. Member” and “Choosing a Sponsor”. Should have something from Kern by next meeting. Waiting to hear from French – they had a meeting on 02/07/2012 but haven’t heard anything. Remember that the disclaimer has to be translated. Nothing from Poland, Spain or Portugal.

C. PSA – Elizabeth, Teresa, Linda, Richard – We’ve sent requests to 6 or 7 production companies and have heard back from 1. That company has had some verbal questions regarding some specifics – due in 2 weeks. Hope it will be done by Convention.

A. DOO – Linda – Written report. Elizabeth wants to acknowledge that Linda has been working really hard, doing things that the DRPD would normally be doing.

B. Chair – Teresa – Working on drug testing policy for the office staff

C. Vice Chair – Elizabeth – Verbal report submitted (see committee and ad hoc reports)

D. Treasurer – Barry J. – Absent with prior notification, no report

E. Secretary – Susan – Absent with prior notification, written report

F. DAL – Bob C. – No report

XIV. Trustee Reports

A. WSOT – Richard L. – Trustee meeting went really well, all referrals are done. WSBT thinks WSOB is doing a great job

– thanks to Linda and Sheila! Richard made motion: Motion, subject to WSBT approval, to recommend that we reinstate DRPD as a part-time position. Motion passed, opposition noted. March is quarterly teleconference meeting. We need to submit quarterly reports by 02/28/2012.

B. WST – Peter D. – Written and read report. Peter is working on getting a desk for Sheila and a server from Richard Schafer, and will make motion that trustees re-visit sending 10 trustees to convention in the UK. Let’s spend our money where we need it! Cost amounts to $2000 per trustee, $20,000, plus office members, total of $26,000.

B. Structure and Bylaws – Janice – no report

C. Convention – Peter, Linda – no report

D. Conference – Teresa, Peter, Linda – no report

XVI. CAWS 2012 – no check requests. Bob C. made motion: Motion for the WSOB to recommend to the WSBT that it would be more financially prudent to send 5 trustees rather than 10 to the UK. Peter seconded.  Much discussion. Motion passed.

XVII. CAWS 2013 – Sample registration passed around for approval.

Linda made motion to approve, Peter seconded.  Motion passed.

XVIII. CAWS 2014 – no report, except Kathy Jo’s in guest reports

XIX. New Business – Richard made motion to extend the meeting past normal time. Peter seconded. Motion passed

XX. Executive Session

XXI. Next meeting:  February 23, 2012

XXII. Motion to adjourn made by Linda, seconded by Richard L. Motion passed.
