Minutes of the Meeting of

CA World Service Office Board of Directors

February 7, 2013

I. Opening. Meeting called to order with the “we” version of the Serenity Prayer at 7:00pm by Chair, Teresa N.

II. Tradition 11 – Read by Ira L.

III. Concept 11 – Read by Barry J.

IV. Birthdays – None

V. Roll call and Quorum Determined

A. Voting Members Present: Teresa N. (WSOB Chair), Richard L. (WSOB Vice-Chair), Linda F. (DOO), Barry J. (WSOB Treasurer), Susan D. (WSOB Secretary), Bob C. (Director at Large), Ira L. (WST). A quorum is established.

B. Board Members Absent: DRPD (vacant), Kathy-Jo R. (WSOT, absent with prior notification)

VI. Guests Present: John W. (Special Projects Coordinator), Ryan E. (Webservant)

VII. Approval of the minutes of the prior meeting

A. Richard L. motions to approve the minutes from January 24, 2013. Seconded by Ira L. Motion passes unanimously.

VIII. Seventh Tradition

IX. Guest Reports:

A. John W. reported on the progress of translations. We are very excited for the Swedish translation printing, as well as the draft of the Dutch and Russian translations, which are in progress.

X. Online Business: None

I. Old Business

A. WSOB Director Openings – We have 2 openings and are always accepting applications!

B. New Contributions to Prudent Reserve/Savings

1. This item should be a constant on the board to board agenda

C. Website

1. Ryan E. will be adding the suite auction for CAWS 2013 soon.

2. Discussion regarding adding the CAWS 2013 overflow hotel information to the website

D. C.A. Trademark Challenge – Scotland – Bob C.

1. This agenda item is staying on to ensure it is not dropped, but no additional action is being taken at this time

II. Online Business – The motion made by Linda F., seconded by Barry J., to approve the CAWS 2014 check request, in budget, for $200, for a deposit on a location for a preconvention fundraising event has passed by acclamation.

A. Barry J. motion to ratify the online business, seconded by Linda F., motion passes unanimously.

III. Financial Fundraising Ad-Hoc Committee – Richard L., Bob C., Susan D., Kathy-Jo R., Barry J. & Linda F.

IV. Recording Contracts – Ira

A. Discussion regarding various recording companies for CAWS 2013 speaker tapes.

B. Richard L. motions that we select Vision Audio as the recorder for the CAWS 2013 convention, seconded by Barry J. Richard L. withdraws his motion. Linda F. will collect references for the vendors, and submit this information online.

V. Office Director Reports

A. DOO Report – Linda F. – Submitted written & verbal report (see committee and ad-hoc reports)

1. Thank you to John W., Siobhan A., and Russell S. for their hard work on the Swedish book!!!

B. Chair – Teresa N. – Submitted verbal report (see committee and ad-hoc reports)

1. Teresa N. is looking forward to attending the next CAWS 2013 meeting in Florida.

2. Discussion regarding CAWS 2013, and ensuring they are on track financially. Bob C. mentions it is important for conventions to make over the budgeted amount, because the WSO really needs this to survive.

C. Vice-Chair – Richard L. – Submitted verbal report (see committee and ad-hoc reports)

1. Richard L. brought more information regarding a vendor for the meditation book editor. Linda F. is still working on collecting additional bids.

D. Treasurer – Barry J. – submitted written report (see committee and ad-hoc reports)

2. Even Year  $13,111.14 EY Petty Cash $546.98

3. Odd Year  $9,546.05 OY Petty Cash $488.00

4. Savings #862 (Prudent Reserve) $50,118.64

5. Savings #372 (Publications Fund) $25,009.21

7. Barry J. motions to transfer $20,000, pending trustee approval, from savings to operating, cover upcoming and current bills beyond ongoing operations. Seconded by Susan D. Motion passes unanimously.

8. Barry J. motions to transfer $1368 from the publication fund to operating to pay for the Swedish book. Seconded by Bob C. Motion passes unanimously.

E. Secretary – Susan D. – submitted verbal report (see committee and ad-hoc reports)

C. Check Requests:

1. SR006 Motion by Barry J. to approve check request, in budget, for the amount up to $2700, payable to Ace Tours, for transportation for special events. Seconded by Richard L. Motion passes

2. SR007 Motion by Barry J. to approve check request, in budget, for the amount up to $6778.52, payable to Billie Swamp Safari, for special event. Seconded by Richard L. Motion passes

3. SR008 Motion by Linda F. to approve check request, in budget, for the amount of $257.82, payable to Blanchard Communications, for walkie talkies, as well as a $750 security deposit on the credit card. Seconded by Richard L. Motion tabled to next meeting. Linda F. will look into insurance for the walkie talkies

4. SR009 Motion by Barry J. to approve check request, in budget, for the amount of $379.80, payable to David Brown, for incoming chair expense. Motion passes

D. Linda F. motions to approve the CAWS 2013 3 pieces of artwork presented, provided changes are made to ensure the logo follows the guidelines. Seconded by Richard L. Motion passes

E. Discussion regarding the credit card machines for the convention

F. Barry J. motions that we rent two wireless machine for a minimum of one month. Seconded by Ira L.
