Minutes of the Meeting of

CA World Service Office Board of Directors

December 13, 2007

I. Opening.  Meeting called to order with the “We” version of the Serenity Prayer at 7:03pm by Chair, John B.

II. Tradition 4 read Hayward H.  Discussion ensued.  Hayward: so as long as groups aren’t interfering with other groups or C.A. as a whole, they can pretty much do what they want, it would appear.  John: well, that’s always how I saw it, but then there’s also this accreditation issue, to ensure that each group is adhering to traditions and principles, which can at times become sort of a bummer.  I think that the point is that each person’s right to participate is not something that we manage.  Willie: I think that this leads into the next tradition: the group’s primary purpose.  Hayward: I hear something a lot related to this—“are the members of the group staying sober?  Then leave them alone.”  Willie: but yet there could still be other things going on that could be distracting.

III. Concept 4 read by Willie B.  Short discussion ensued.  Hayward: I’m curious–committee chairs have a vote in some areas but not in all areas.  Why is it not the same in all?  Earl:  This is intended to apply to the WSC.  In a lot of cases, we tend to take this farther and apply it to areas, as well, when it is not necessary.

IV. Birthdays—none.

V. Roll call and Quorum Determined

A. Voting Members Present:  John B. (WSOB Chair), KathyJo R. (WSOB Vice Chair), Tom P (WSOB Treasurer), Teresa N. (WSOB Secretary), Earl H. (WSO Trustee), Hayward H. (WS Trustee), Willie B. (Director at Large), Patty F. (RD&PD).  A quorum is established.

B. Voting Members Absent: Director at Large (vacant).

VI. Guests Present: Richard L.

VII.   Approval of the previous meeting’s minutes

A. Motion made by KathyJo to approve the minutes from 11/09/07 meeting.  Seconded by Hayward.  Vote taken.  Passed unanimously.

VIII.   Guest Reports—Richard L.

A. No report tonight.

IX.   On-Line Business—

A. On 11/12/07 Patty made motion to increase the royalty amount from 5 cents to 8 cents per pamphlet.  Seconded by KJ/John.  Vote taken. Passed unanimously.

B. On 11/26/07 Patty made motion to pay $8,000.00 USD to translate and proof HFC II to Canadian-French.  Seconded by Hayward/KJ.  After much on-line discussion, vote was called.  Motion passed with two abstentions noted.

X. Old Business

A. Board Ratifications

1. The WSOB ratified its members by secret ballot.  All current board members were ratified.

B. WSOT Slate

1. Earl discussed the nature of his position as WSO Trustee, what he has learned, how it has changed him, and how his position works on the two boards both together and separately.  Willie and Teresa expressed interest in the position.

XI.   Break at 8:05pm.  Meeting called back to order at 8:15pm.

XII. Old Business, cont.

A. Royalties

1.  Tom made motion, which after several friendly amendments would modify the form so that two signatures are to be required: the Trustee of the region and any duly appointed officer or Delegate of the area. (A footnote would be required.) The motion was seconded by Willie.  After some discussion, the vote was taken and passed unanimously.

B. Translations

1. KJ: no meetings occurred due to various issues.  The Farsi translation issue will be carried over to next meeting.

C. Post-Conference Referrals

1. Referral #5070 – Would like to see the word addicts when used in the context of describing what CA is on the website, changed to “persons with a desire to stop using Cocaine and all other mind altering substances.” The reason being a person who recognizes they may have a problem with drug usage may not be willing to identify as an addict (yet) and this may inadvertently dissuade someone needing or desiring help and/or information.     Tom made motion to respond to the following manner: “the Board feels that the language on the website is consistent with all C.A. literature at this time.”  Seconded by Willie.  Passed unanimously.

D. Post-Conference Report

1. WSC is still waiting on several post-conference reports, including ours.  Willie has offered to assist in completing this and getting it in.

E. Effective E-mail program per referral #5119—carry forward

F. Spending Policy and Transfers

G. Director Recruitment/Resume/Interview

1. The Board will go into closed session at end of meeting tonight.

XIII. Office Report

A. Robin submitted written report

1. Facilitate the execution of the Royalty Agreements for UK and Holland. (with DRPD)

2. Facilitated legacy quilt project with staff.

3. Began negotiation for new shipping systems, met with vendors

4. Investigation of new dental insurance, reviewed insurance plans.

5. Restored inventory.  During low cash flow, we had a lower inventory.  As sales have increased, inventory has also increased…

6. Began preparation of delegate mailing.

7. Ongoing communication with Webservant to maintain website.

8. Facilitate training of mailing of Starter Kit letters in order to expedite to potential members worldwide.  Sent starter kits to Holland, Australia, New Zealand, Mexico, Hawai’i, and Israel over the past month.

9. Earl:  Whenever the Office sends out starter kits to non-represented areas, including internationally, the Office should be notifying the Trustee-at Large.

B. Patty submitted verbal report

1.  There is a problem with the French fulfillment company.  It has been determined that they are now officially out of French books.  So, the immediate and temporary resolution is that we are going to print a small inventory and store it here and ship from here.

2.  Some progress has been made on activities for the Convention.  Will be bringing some motions under new business.

3.  UK will be submitting bid for 2012 Convention

4.  European Office—Nick called to get data on sales numbers to run a store.  Can I show him all of the options available…to best serve the fellowship over there?  Earl & Willie: yes.

XIV. Treasurer Report— Tom submitted written and verbal report.

A. While we are behind in 7th tradition we are way ahead of budget.

XV. Director Reports

A. Chair—John B. submitted verbal report.

1.  Attended mtng with the DRPD prior to WSOB mtng

2.  Met several times with the WSOT

3.  Placed ad for DOO, and brought submitted resumes for the Board’s review

B. Vice Chair—KJ submitted written and verbal report

1. KJ made motion to extend the mtng past the normal ending time.  Seconded by Earl.  Passed with abstention noted.

2. Submitted local Translation Committee Procedures Draft.

C. Secretary—Teresa N. submitted written and verbal report.

1. NewsGram—4th quarter presented to Board tonight for review.

2. 25th anniversary edition: only two members submitted articles, Cynthia and I are working on other articles and fillers.

3. LCF – several questions came up for the Office/Board as a result of the November Conference call.  Mostly will be handled between me and Patty and Robin.

D. Director at Large– Willie B. –no report.

E. Director at Large—none—vacant.

XVI. Trustee Reports

A. WSO Trustee–-Earl H. submitted written and verbal report.

1. Participated on the WSBT Online Agenda.

2. Submitted WSBT approved copy of DOOWSBT and the Board to Board meeting.

3. The WSBT has passed the following motions.

a. Trevor S was elected the new WSBT Secretary.

b. Corporate documents signed by current officers.

c. WSBT moved that the WSOB, upon completion of the job description for DOO, forward Job Description to the WSBT via the WSOT.

d. Upon WSBT approval of submitted DOO job description, the WSOB Chair shall perform job search within and outside the fellowship for DOO position.  The search shall last 60 days.  The WSOB Chair will bring forward at least 3 and not more than 5 of the top five candidates for scheduling interview.

e. The WSBT will begin conducting interviews for DOO starting at 1pm on Friday Feb. 22, 2008 prior to the WSBT quarterly meeting at the Four Points Hotel

f. Discussion ensued re: DOO recruiting/job posting.

B. WS Trustee—Hayward H. submitted verbal report.

1. Suggests possibility of using the unused submitted stories from HFCI and HFCII for NewsGrams and Meditation Book, etc.

2. The new Yahoo group is up and running.

XIX. CAWS 2008,  Salt Lake City

A. Patty made motion to begin work on the contract for the hypnotic comedian, John Daughters, at a fee of $1200.00 for CAWS 2008.  Seconded by KJ.

B. Tom made motion to authorize spending of up to $3316.00 on Convention Speakers.  Seconded by KJ.  Passed unanimously.

XX. CAWS 2009, Denver

A. The Chair is pregnant, but committed no matter what.

XXI. CAWS 2010, Milwaukee

A. Nothing new.

XXII. CAWS 2011, Arizona

A. Nothing New.

XXIII. New Business

A. HFCII

1.  Patty made motion to print 10,000 copies of HC HFCII at cost of $19,000 and simultaneously 30,000 copies SC HFCII at cost of $24,000 plus shipping.  Seconded by KJ.   After lengthy discussion regarding the positive effects this motion would have on our budget, the vote was taken and passed unanimously.

B. LTC Procedures Draft

1.  KJ made motion to accept the LTC Procedures as presented tonight.  Seconded by Tom.  Passed unanimously.

C. Using Yahoo Group for future online business—

1.  KJ made motion to use Yahoo group for future online business, pending verification by owner/moderator Hayward that all Board members have joined.

D. Change/Update Bylaws—

1.  This will be a new sub-committee headed by Teresa.  Will need to include the Trustees and an attorney.  Moved to Old Business.

E. Vice-Chair Facilitating On-line Business

1.  KJ made motion that Vice-Chair may facilitate any on-line business.  Seconded by Patty.  Passed unanimously.

F. Next meetings—Next meeting to be January 24, 2008.   

XXIV. Motion to Adjourn and go into executive session Teresa at 10:45pm.  Seconded by Patty.  Passed unanimously.  Closed with the Serenity Prayer.
