COCAINE ANONYMOUS WORLD SERVICE OFFICE Minutes of Board Meeting

June 25, 1987

The meeting was called to order by Coco with the serenity prayer 7:40PM.

Reggie L. read the 7th Tradition.

Helene read the minutes of June 11, 1987. Motion: To accept minutes as read. Motion seconded and carried

COMMITTEE REPORTS

Public Information

A written report was handed in. Bob G. sent a letter to the Board of Directors -approved funds for expenses to San Francisco Convention for P.I. Committee meeting that is to take place at that time. He was advised that unless conference a roved, we cannot approve such an expense. Helene will draft a letter stating same.

Ray suggested that all information sent from this office with reference to this committee be submitted to the board and the trustees for approval prior to any distribution of same.

Intergroup Communications – Jim B.

Committee is very quiet at this time. This committee has now been expanded to included the following: a)Responsible for follow-up of starter kits that are sent out. Jim will draft a letter in this regard, b) Will distribute estimate form for area and delegates regarding chips and literature.

Newsletter — Jim

Newsletter was submitted for approval. Motion: To accept Newsletter with corrections. Motion seconded and carried.

Jim submitted for approval new design for letterhead and envelopes. Motion to accept letterhead and envelope design. To use CA Logo and blue ink.

A Member of the Newsgram Committee (who is an attorney) has offered to file a patent for the Logo to include that it cannot be used in any other fashion.

The board explained that this would not be necessary.

Treasurer’s Report

A written report was submitted. Linda was reminded that a board member can only miss 3 consecutive meetings before being replaced. This was her second absence in a row.

Balances:

  • Trust Account: $ 4102.82
  • Operating Acct: 3750.37
  • Savings Acct: 88.08
  • $7941.27

Rusty asked that a more direct financial summary be submitted monthly ie: Previous month balance, expenses, income, new balance., etc. Asked that a breakdown of the San Diego Conference and the Woodland Hills conferences as well as the convention be shown where net expenses for events are shown.

Meeting with Tax Attorney – Phil

Phil was asked by Coco to attend this board meeting so that we can determine just what service is being performed by his office.

  1. Makes sure tax exempt status is up-to-date for Corporation, (as well as the Corporate minutes being up-to-date). At this time both seem to be in order.
  2. Has not seen tax returns and at this time is unaware of the status of same.
  3. States that if we are “clean” with the IRS etc., then as long as we file taxes, their services are no longer necessary (referring to the attorney).
  4. Fund Raisers – these are okay to have. They have the blessings of the County however, can file for this ourselves.
  5. Form 1021 – Non-Profit Status-IRS, Letter from IRS stating receipt of letter of determination of Non-Profit Status should be on file from the IRS. Form 3500 from the State Franchise Tax Board regarding same should also be on file.
  6. Minutes must be in order in the event of;a) IRS Audit, b)Officers and directors will be held responsible in the event a suit occurs if the minutes are not in order.
  7. Important to make sure that business end runs smoothly.
  8. Bylaws should state that the members elect the Board of Trustees, provisions for the directors, who they are, when they meet. State who “Members” are and what their rights are. Should also state that the directors are elected through the C.A.W.S.O., Inc.
  9. Business related to non-profit status is not taxed, business not related is taxed.
  10. Will not have to file income tax return for C.A.W.S.O. ,Inc. if their income is less than $10,000 per year.
  11. Suggest opening of all new bank accounts when new corporation is established.
  12. Keep straight all records of sales tax paid through sale of chips and liter­ature in California only.
  13. Minutes should be kept together from the beginning.

Phil was thanked by Coco and the rest of the Board for attending and sharing with us the above information.

OLD BUSINESS

A) Insurance- Steve is still investigating this. Farmers insurance has quoted the following for a Premises Liability policy for $300,000 in liability Policy would be a 100/300,000 policy – which means $100,000 per person $300,000 per occurrence.

The quote is $222.57 per year –

total $322.57 per year

Motion: To accept proposal and quote- Seconded and carried.

OLD BUSINESS – Cont’d

  1. Booth in San Francisco-to have order forms and samples of chips and literature available. A package is being sent to Bob L. via UPS 25 of everything available through our office including all the bumper stickers to be sold.
  2. Bruce will take care of Neon sign getting to the Convention.
  3. Linda will follow-up on the lease for the office.
  4. Input form submitted by Rusty. Will include metal chips up to 5 years and yearly plastic chips up to 10 years. Jim will make necessary corrections on this form and send along with self-addressed envelopes to the delegates and central offices.
  5. A new order form was submitted and re-designed. Corrections will be made.
  6. Cory has gotten all chips and literature reports up-to-date. She has been putting in a great number of hours to get this work done. She will now be working AO hours per week. She has stated that any time put in over and above her regular 40 hours, will be her contribution of service to the office. She is now logging all orders coming in. A program has be placed into the computer by Linda to accommodate all orders coming in and so that we have a permanent record of each order and when filled. She was unable to find previous records of original order forms to fill orders that are owed a balance of chips and/or literature. Cory will ask Ken B. to come in again and assist her with inventory and sending orders. Cory is now authorized to order from KCT(chip manufacturer). Thanks to Ken B. and Neil B. for all their assistance given in helping to send out the backlog of orders.

NEW BUSINESS

  1. Patti filed for unemployment. We will state that she was not available for fill-time work and therefore, she could not accommodate our needs. Linda to follow-up on this.
  2. Coco to send a letter to Bob regarding the current status of Public Information, This letter will contain the following: a) Request that the Board receive copies of all materials sent from the office for approval. b) Committee be enlarged and each area of Public Information be delegated to an individual on this committee; c) Remove starter kits and follow-up of same from this committee and turn over responsibility for same to Group Communication; d) No committee member can be reimbursed for any expenses unless a budget is presented to the conference and approved.This refers to the expenses requested to San Francisco in July; e) Where are the Public Service Announcements?; f) Specify conference committees and office workings; what is the difference?
