May 16, 2020

OPEN MEETING @ 9:09 a.m.

ROLL CALL & QUORUM DETERMINATION

Present were Randy M(Chair) Alesia F. (Vice Chair); Linda F., (DOO); Brenda M. (Secretary.); Ron D. (DAL); David C (DAL); Pierre K (DAL) Yvette WST; Kevin (WSOT) Susan L, (Chair CAWSO 2020 Convention); Jason L (WST) George M (WST) Quorum is met.

CHAIR ANNOUNCEMENT(s) – Randy welcomed the Trustees, conference committee chairs and guests to the board meeting.

APPROVE THE MINUTES OF THE PREVIOUS MEETING(s) April 2020

MOTION Linda moved to approve the April 2020 WSOB minutes with any housekeeping; Brenda M seconded the motion. Motion passes unanimously

SEVENTH TRADITION – None – Donations should be made at CA.org

OFFICE DIRECTOR REPORTS

Director of Operations- Linda – No Written report submitted

Linda remains on furlough pending of reopening of the office. Linda has will continue to volunteer to support Randy by providing the location of information and office processes.

CAWS CONVENTION REPORT

CAWS 2020 – Austin – Susan L. – No WRS

Highlights: The document is now fully executed for Memorial Day Weekend, May 27-31, 2021. The Hyatt has been very cooperative and is working to accommodate the committee. The Embassy Suites is still the overflow hotel. C-vent has been revised and is ready to accept new registrations. We are in the process of transferring all current

registrations to the new dates. Registration refunds will be processed manually by the world service office. No approved funds will distributed to vendors. Most of the vendors are willing to reschedule their services. Fundraising is pending.

CAWS 2021 – New York – Alan S No present

Highlights: George M reports that negotiation with the Hyatt in New York is in progress.

CAWSO 2022 – Atlanta – Mike S. Not present no report submitted.

CAWSO 2023 – Amsterdam – Joost

The new Chair reported that he is working to get a Vice-Chair and Hotel Liaison. They are awaiting the final decision on 2024 dates for that conventions.

MOTION: Pierre moved to take the agenda out of order to hear the helpline proposal; David seconded. Motion passes unanimously

Reviewed the attached proposal for a new 800 number procedure and vendor for WSOB. Discussion and Q&A covering cost, functionality and suitability for our needs.

MOTION: David moved to approved Free Voice as outlined in the proposal. Pierre seconded the motion. The board debated in favor and against the motion. Motion passes 6 In-favor,  2 abstentions

 

DIRECTOR REPORTS

Chair – Randy M. – No written report submitted

Highlights: The office remains closed and the employees are furloughed until further notice. Randy continues to come into the office to collect the mail and pay bills. Yvette inquired about the payment to the attorney Barry Gan. Those invoices have been paid. One resume has been submitted for the Director of Convention and Conferences.

Vice Chair- Alesia F – No Written Report Submitted

No Highlights

Treasurer – Michael T. – Not Present – No Written report submitted.

Randy reported that Michael has completed cash flow analysis. The analysis shows the operation of the office will require approximately $15,000.00 a month from prudent reserve.

Secretary – Brenda M. Written Report submitted.

Highlights: The interview process for replacing Linda is in progress.

Brenda is preparing a document based on OSHA Covid-19 guidelines to have a safe and healthy workplace for employees and volunteers.

Director at Large – Ron D. – No written report submitted

Highlights: Unable attend today’s Unity meeting it conflicts with board meeting. Will obtain the minutes.

Highlights: Attended meeting for PI and the Ad Hoc committees’ details in committee reports

 

TRUSTEE REPORT

WSOT Trustee – Kevin M – No written report submitted

Highlights – Kevin commented the potential dates for conventions and conference. He is leaving the board meeting early to attend today’s the Trustee Quarterly meeting. Kevin made comments about the reopening of the office and the hiring process for finding a DOO to replace Linda.

WST Trustee – Yvette H – Quarterly report submitted.

Highlights: Reported that our deposit for the cancelled 2020 conference with rollover to September 2021 conference. Attending today’s quarterly meeting.

 

COMMITTEE REPORTS –

Finance – Michael T. & Brenda M

Highlights: Spoke with Secretary of Finance Committee and obtained minutes from April meeting. Attempted to attend the May meeting but had an incorrect time.

Structure & Bylaws – Kevin M.

Highlights: None

Convention– Ron D.

Highlight: Meeting is scheduled for tomorrow.

Conference – Linda F. and Alesia F.

Highlights: The 2020 conference cancellation was the topic of decision. Alesia reported that she was not informed that the committee used what’s App for the meeting therefore, she was unable to attend.

Literature, Chips & Formats – Pierre K. WRS

Motion: Pierre moved to approve “Message to the Professional” as a no cost pamphlet. Linda seconded. Motion passes unanimously

Motion: Pierre moved to approve “CA lifeline” be sold at the same cost of other CA pamphlets Linda seconded. Motion passes unanimously

Hospitals & Institutions – Pierre K.

Highlights: Project on a possibility and procedures for online meeting at hospitals and institutions is progressing.

Public Information –

Highlights: The committee will be pleased with today’s board approval of the helpline proposal and the “Message to the Professional” pamphlet.

The success of the PI summit resulted in conversations on how a virtual PI summit will reduce the cost of attending the summit. To further reduce cost, any in-person PI summits could be held on the shoulders of events such as conventions or conference.

Drug court was cancelled for this year.

Highlights – None

 

GUEST REPORTS:

Misty reports that the Traditions and Concepts workshop will be on-line. With the cancellation of the conference, the SR14 party will not be held this year.

ONLINE BUSINESS: Highlights – None

UNFINISHED BUSINES

  2. Ad Hoc Committee – David C – (See DAL written report)

 Secretary of WSCC is an active member of Ad Hoc and supports editing the language is the WSCC guides and plans to make a proposal at the next WSCC meeting.

Robert B is progressing with a creation of a financial Spreadsheets to simplify CAWSO bidding and event fiscal management processes. The tool can be implemented at the office for financial analysis and made as a referral to the WSCC to use in the vetting process.

Continue to broadcast the Freedom Fund project as appropriate.
