World Service Office Board Minutes – August 11,2005

Bob C. called meeting to order at 7:10 pm

Present:

Bob Campbell – Chair
Judy W.- Vice Chair
Kathy Jo Rangno – Director I
Earl Henderson – WSO Trustee
John Bodkin – WSO Trustee
Brian Wolf — WSO Treasurer
Patty Flanagan – Office Manager

Positions Vacant: Secretary
Members Absent: Jon Fish – Director II

Visitors: Happy Holland and Susan Bredau (Stand-Tn Secretary)

Quorum established.

Motion to table approval of 7/28 minutes. Passed. Becomes OB for next meeting.

Visitor Reports:

Happy Howard re: International outreach for South Africa – individual not organization. South Central having 1ht Convention in November.

Susan B. reported on NBC Health & Fitness Expo taking place this weekend.

Old Business:

  1. Motion to approve minutes of 6/23. Passed.
  2. Changes in Trustee Reimbursement. Policy:

Brian worked on Language in I through VI. “Per Diem” is not a correct reference as it applies to employees and not volunteer workers. Says it needs to be put in context.

As the document came from Trustees, PF suggested sending back to Jay Finesilver to make the changes suggested by Brian and return to us by next meeting.. Will be referred back to Trustees to make it coherent and consistent.

  1. 2006 CAWS Budget – stays OB. Committee meeting tonight.
  2. Price of Literature Racks – OB next meeting
  3. Sale Pricing for IIFC Volume 2. Production cost will be $1.

Board Reports:

Patty — Conference Committee generates purchase price of Delegate Books. Convention Committee generates income for left over Memorabilia – let them staff and do their own sales. Office personnel should not be utilized,

Brian – Found appreciation info. Final year end report will be available next meeting. Year is closed. Months close 45 days after, year closes 90 days after. Will put final touches on reimbursement reports from Trustees. Willing to continue as WSOB Treasurer for a time attending only 2™ meeting of month.

Bob – We will be talking about resumes and Directors tonight. Interviews will take place tonight. Need to develop list of questions — will be work in progress.

Board reports due to the Trustees by next Friday – remind at next meeting!

Who is on what conference committee – Judy – C&L and Conference, John B. – Conference, Bari and Brian – Finance, Kathy Jo Finance, Convention – OB Next Meeting

Bob will be meeting with ALL Convention Committee members to let them know what is expected.

We are passing out evaluation forms for the Office Director, which will be due next Thursday. New Business for 8/18

Judy — Vice Chair no report

Jon Fish – Director 1: Not present.

Kathy Jo Rangno – Director 11: No report.

Karl H – WS Trustee: Will be preparing advanced meal allowances for the Trustees. Do we as a Board want to support the creation* of yh£ Kuropean Region.’*

Board Position: As a Board it would he inappropriate to lake, a block vote so that we can remain objective. It’s our duty to provide the information without prejudice. You will see how we vole on the Conference floor,

John Bodkin – WS Trustee: We have a mail box that needs to be checked. It’s in Brentwood — I have the key.

7th Tradition taken.

Committee Reports:

Finance: Working on yearend wrap-up

Structure & Bylaws: Referral to suspend the rules re; Creating a Region. Was it made?

Convention Committee: Bidding process being honed.

Conference Committee: Judy W, — Compiled 2 sets of quotes for Conference equipment- copiers and computers. Will make motion in New Business. Conference Vice Chair stepped down. Committee will be electing a new Vice Chair and Chair for next yean

John B: Will have conference call with hotel. Scott Botts has become Conference Coordinator, New contact at hotel. Some of same people are still there,

Question re: Sound system. Coast to Coast will bring microphones, screen, podium – $192/day. Walkie-talkies are handled.

Unity:

Literature, Chips & Format: HFC 11 is still a work in progress H&l:

PI:

Internet: Jon F. not here.

Archives:

CAWS 2005: Memphis -2 check requests for phone bills. Checks written – will be signed tonight.

Motion to pay requests – passed. Books now closed.

CAWS 2006: Houston – Please request minutes for next WS Board meeting 8/18

CAWS 2007: Kansas City – Chair will not be at Conference

CAWS 2008: Salt Lake City — John B – Shaping up nicely. Marriot vs. Hilton, Steering Committee favors Marriot. Has attractive line items. Have offered Room Rate without rebate at this point. Would like to bring viable deal to Conference.

Motion to Suspend Rules – passed.

Motion to move to New Business & go till 11pm — passed

NEW BUSINESS

Copier Bids: Motion to accept Data Prints bid for copiers for S3075.00, Seconded. Passes.

Bid increased to 50,000 @ 1.8 cents. 60-75 copies a minute. Toner? Network capability with computers.

Computer Bids: Power Flow is lowest bid and company we used last year,

CRE will probably provide better computers and service for S300 more. Judy would suggest CRE if budget allows.

John Bodkin: Motion to accept the bid from Power Flow, KJ seconded. Passed.

Executive Session –

Board interviewed Howard E. and Susan B. for open Board position.

Howard elected Director, pending approval of Trustees.

Motion to adjourn (Patty/Kathy Jo) at 11:23 pan. passes.
