Minutes of the Meeting of

CA World Service Office Board of Directors

March 08, 2007

I. Opening.  Meeting called to order with the Serenity Prayer at 7:10pm by Chair, John B.

II. Tradition 2 read by Earl H.  Earl LOVES this tradition.  The first tradition talks about how we cannot do this alone.  The second tradition talks about how we do it together—how God’s Will will be done by us doing it together.

III. Concept 2 read by John B.  no discussion.

IV. Birthdays: John B.-15 years.

V. Roll call and Quorum Determined

VI. Voting Members Present:  John Bodkin (WSOB Chair), Tom Phelan (WSOB Treasurer), Earl Henderson (WSO Trustee), Kathy Jo Rangno (WSOB Vice Chair), Teresa Neighbors (WSOB Secretary), Hayward Hunt (WS Trustee), Patty Flanagan (WSO Paid Director, Director of Operations, Office Mgr), Robin L. (WSO Paid Assistant Mgr-no vote).  A quorum is established. Willie Bailey (Director at Large) expected to arrive late. (arrived at 7:37pm)

VII. Voting Members Absent: Director at Large (vacant)

VIII. Guests Present: none.

IX. Approval of the previous month’s minutes

A. Motion made by Tom P. to approve, seconded by Hayward H.  Vote taken on motion to pass.  Motion approved by substantial unity.

X. Guest Reports– none.

XI. Old Business

A. Director Resumes    

1. Was pitched at the regional.  No new developments

2. John: what exactly are we looking for?  What do we need?  What should we be recruiting?  Over the next two weeks, think about what we should be looking for, based on what work we have.  Patty: I believe it’s under your purvue to groom them.

XII. Office Report

A. -Patty F. submitted verbal report.

1. CAWS 2007—bringing package to board

2. …And All Other Mind Altering Substances now available for distribution.

3. Monday, Leandra was laid-off, with severance.  We need someone that has training in bookkeeping—a degree in bookkeeping. For now, Oliver V., our past treasurer, will be helping us out at a savings of approx. $800/month.

4. Attended her annual special private meeting with the trustees.

5. HFCII: we are in the final process of adding all the changes for typesetting.

XVI. Treasurer Report

A. Tom P. submitted a verbal report

1. Good news in Feb with regards to 7th tradition that we will see in the next report.  It appears that our position has approved.  More than 50% of the Conference Committee Chairs appear to be non-delegates.  It appears that some of the budgeting does not include covering expenses for non-delegates. Initial analysis of our financial position by our treasurer is that we will not be able to afford financial reimbursement for non-delegate committee chairs this year for WSC.  We need to make further investigation so that we may communicate this information out to the fellowship, should this be the case.

2. Was present at the Quarterly meeting of the Trustees.

XVII. Director Reports

A. Chair—John B. submitted verbal report

1. Congratulated the Board for one of the most synergetic meetings we’ve had with the trustees in a while.

2. Translations: would like to add to new business the approval of the translation policy.

B.   Vice Chair—Kathy Jo R.—no report.

C. Secretary—Teresa N. submitted verbal and written report.

1. Newsgram draft submitted.

2. KJ: could we maybe put in a meditation. Robin: all meditations have gone to Jay F.  Not all have signed releases.  Another thought: how would someone feel if their meditation got in the NewsGram and not it the book?

3. Hayward: trying to get H&I stories/article submitted.  Not having any luck.

4. KJ: could you please add to the Agenda, the full concepts each week, so we don’t have to fumble around and look for them? Teresa: yes.

D. Director at Large–Willie B. no written report.

1. Attended the regional assembly and made the trustee slate.

2. Attended the convention.

XVIII. Trustee Reports

A. WSO Trustee–-Earl H. –submitted written and verbal report.

1. Attended the Quarterly meeting of the WSBT.

2. Attended the Pacific Northwest Convention in WA

3. Interviewed the interim NewsGram Editor for the position of Editor

4. Earl made motion to bring Cynthia C. on as the NewsGram Editor.  Seconded by both KJ and Tom, simultaneously.  Earl spoke in favor of his motion, noting that she interviewed well and that she and Teresa would make a great team, especially in partnership with the wonderful office staff.  Vote taken.  Passed with substantial unity.

5. Plan to work on creating a written policy on how Paid Director job performance is evaluated and pay treatment handled

B. WS Trustee—Hayward H.

1. Attended the Regional Assemble.

2. Attended the Quarterly Trustee meeting.  Minutes will be completed and sent out by Monday.

3. Been in contact with LCF Chair re: switching conference calling plan to the free plan.

4. CA Server-would like to have a website/group similar to yahoo group set up for WSOB where we can have all our files stored so we can access them anytime.

5. John: we need to be careful about the access to making updates to our website. Everything that has to do with updating/posting to the website MUST go through the WSO.

A. Finance: Tom, Earl—no report

B. Structure & Bylaws: John—no report

C. Convention: KJ, Patty—selected the 2010 steering committee.

D. Conference: KJ, Hayward—phone conference call this weekend.

E. Unity: Willie—Orange County extends an invitation to the Board to their Celebrate Around the World event this weekend.

F. Literature, Chips & Formats: Teresa—Phone Conference Call this Sunday.

G. Hospitals & Institutions: Hayward—Phone Conference call on the 18th.

H. Public Information: Willie

I. Internet: Teresa—no report.

J. Archives: Patty—no report.

Robin/Patty: The Office requests that ALL Committees please inform the office of ALL Conference call dates/times so that they can keep a running calendar.

IV. CAWS 2007-Kathy Jo

A. Patty made motion to approve the spending committee request for a pre-Convention fundraising event–a  Pancake Breakfast in the amount of $450. Seconded by KJ.  Vote taken.  Passed by substantial unity.

B. Patty made motion to approve making 300-coin medallion in the amount of $270.  Seconded by KJ.  Vote taken.  Passed by Substantial unity.

C. Patty made motion to reimburse transportation expenses up to a maximum of $250 each for Kendall Sadler and Leslie Williams, guest speakers.  Seconded by KJ.  Vote taken.  Passed by substantial unity.

D. Patty made motion to pay Mark Gilmore (a.k.a. Karma) in the amount of $2500, with a deposit of $1250 today.  Seconded by Tom.  KJ made motion to table until next meeting.  Seconded by Patty.  Vote taken.  Passed by substantial unity.

E. KJ made motion to suspend the rules to extend the meeting past 10pm.  Seconded by Hayward.  Motion passed.

V. CAWS 2008

A. KJ: Terry was going to have a registration form ready by now.  Does he have it yet? I’d love to have it here by next meeting so we can proof it. Patty: no. I will call him.

B. John: How are we with the banks?  Earl: fine.

VI. CAWS 2009—nothing

VII. CAWS 2010

A. Initial draft of the hotel contract received, to be reviewed.

B. Steering Committee was selected.

VIII. New Business

A. Approval of NewsGram Guidelines and Editor Job Description–

1. Guidelines-motion made by Tom to approve. Seconded by KJ.  Discussion ensued regarding further changes that needed to be made.  KJ made motion to table until next meeting.  Moved to old business.

2. Editor Job description—Earl: was already approved last meeting.

B. Website-using space to save all WSOB files/WSBT online group-We would like to have a central place for uploading and storing/preserving all of our documents.  Hayward: can we have the space?  Patty: how much space d you need?  Hayward: about 200 Megs.

C. Literature Translation:  Motion made by Willie to adopt the Literature Translation Policy.  Seconded by Patty.  Motion to table made by Tom.  Seconded by KJ.  Vote taken.  Passed by substantial unity.

D. Chip Extension: Motion to extend the chip to the 40-year mark.  Seconded by KJ.  Vote taken.  Passed by substantial unity.

E. Next Meeting:  03/22/07 and 04/12/07.

IX. Motion to adjourn made by Tom and seconded by Willie.  Passed unanimously.  Meeting adjourned at 10:28pm with the “We” version of the Serenity Prayer.
