Minutes of the Meeting of CA World Service Office Board of Directors

May 12, 2011

I. Opening. Meeting called to order with the ―we‖ version of the Serenity Prayer at 6:59pm by Chair Tom P.

II. Tradition 4– read by Sheila.

III. Concept 4 – read by Peter.

IV. WSM (pp.56)- read by John.  Discussion ensued.

V. Birthdays—None.

VI. Roll call and Quorum Determined

A. Voting Members Present: Tom P. (WSOB Chair), Barry J. (WSOB Treasurer), Teresa N. (WSOB Vice-Chair), Richard L. (WSO Trustee), Peter D. (WS Trustee), Elizabeth S. (Director at Large), Linda F. (DOO). A quorum is established.

B. Board Members Absent: Director at Large (vacant) and DRPD (vacant), Secretary (vacant).

VIII. Approval of the minutes of the prior meeting

A. Richard made motion to approve the minutes of the April 28 meeting, as amended. Seconded by Peter. Passed with substantial unanimity.

XII.Referrals –

A. Teresa will put the spreadsheet together so that we can begin work on them after the Convention.

B. Teresa reported on plan to address the contradictory information about Director terms in the Manual.

XIII.On-Line Business

A. On May 1, Elizabeth made motion to approve expense of centerpieces in the amount of $1,453.50 for CAWS 2011. Previously paid- $833.28 totaling $2,286.78. Budget for centerpieces $1,500, budget for decorations $1,000. Total budget $2,500. Seconded by Teresa. Passed with substantial unanimity. Ratified unanimously.

XIV. Director Openings – still recruiting for DAL and Secretary positions. We interviewed a candidate

XV. Guest reports, cont…

A. Sheila – I would like to know the status of the PSA. As of now, we don’t have a PSA that we own. Discussion ensued. Elizabeth: we could re-negotiate so that we can acquire ownership. We need at least a licensing agreement. Richard: the PI committee has a budget for this purpose. They have received bids and are working with Linda in the Office to move forward. Elizabeth: we have a PSA that is very old and we could use it.

XVII. Translations –

A. Elizabeth:

1. Made motion to provide Kern Communication with local committee suggestions of translated documents from Farsi. Seconded by Linda. Passed unanimously.

2. Made motion to spend up to $500 to have Kern Communication review the two Polish pieces submitted by the local translation committee. Seconded by Barry. Passed unanimously.

XXII.Office Director Reports

A. DOO Report – Linda F.

1. Working on the laptop purchase.

2. Ordered new computer for Sheila.

3. New badge holders have arrived.

4. At a stand-still with the Canadian copyright for HFCII.

5. Getting everything ready for Phoenix.

6. Working with Cynthia to ensure the WSO has all of the masters of the most updated version of all pamphlets.

7. Terry Marsden has offered to help with any typesetting needs.

8. Self-Test – will address on-line.

9. Cynthia would like articles quickly for the NewsGram.

10. Received an inquiry from MA to use some of our literature, amended to suit their fellowship. We will forward to the Trustees so that they can make a recommendation to the Conference because it deals with conference approved literature.

11. Received e-mail from European Trustee requesting documents and literature for upcoming visit to Iran. We will bring starter kits, newcomer rings, PI folders, HFCII and pamphlets to Arizona. Although we are eager to serve our primary purpose and to spread the message, there are some possible legal issues to consider. No action was taken and Tom & Linda will look into this further to obtain more information.

B. Chair—Tom P. – no report.

1. Met with the CAWS 2011 committee. They are very unified and things are moving along very smoothly.

2. On the reg form, there is a line to donate for Newcomer registration. The CAWS 2011 Committee has interpreted this as fund that will help support the H&I registrants. Much discussion ensued.

C. John B., executive consultant – no additional report.

D. Vice Chair—Teresa N. –

1. Submitted minutes for review and compiled reports.

2. Will attend the B2B at Convention.

3. Will attended Conf Committee meeting at Convention.

4. Will attend Structure and Bylaws Conference Call this Sunday.

E. Treasurer—Barry J. – submitted verbal and written report.

XXIII.10:00pm Teresa made motion to suspend the rules in order to extend the meeting to conclude the business on the agenda. Seconded by Richard. Passed.

XXIV. Treasurer report, cont.

1. Barry made motion to approve check request in the amount of $6564.04 payable to AZ Sportswear for CAWS 2011 memorabilia. Seconded by Richard. Discussion ensued. Motion passed unanimously.

2. Barry made motion to approve check request in the amount of $108.00 payable to CSG Custom Sign & Graphic for CAWS event signage. Seconded by Elizabeth. Passed unanimously.

3. Barry made motion to approve check request in the amount of $475.17 payable to Rhonda Jeffers for CAWS 2011 registration packet products. Seconded by Teresa. Passed.

4. Barry made motion to approve check request in the amount of $322.47 payable to CA World Service for CAWS 2011 reimbursement for petty cash. Seconded by Peter. Motion passed.

5. Barry made motion to approve check request in the amount of $114.92 payable to Michael Doll for reimbursement for CAWS 2011 workshop materials. Seconded by Peter. Motion passed.

6. SR #24 Barry made motion to approve check request in the amount of $410.60 payable to Promoslogos, LLC for CAWS 2012 plastic piggy banks. Seconded by Richard.  Passed.

7. Barry made motion to approve check request in the amount of $140.00 payable to Theresa Fair for CAWS 2011 meal expense/allowance for speaker. Seconded by Richard. Much discussion ensued. This is not very frugal. We will put forward a referral to create a policy for future conventions. Motion passed with the Chair’s vote being required.

8. Barry made motion to approve check request in the amount of $947.25 payable to Wet n Wild for CAWS 2011 entertainment – balance due. Seconded by Richard. Motion passed.

9. Barry made motion to approve check request in the amount of $212.15 payable to ABC Print for CAWS 2011 program printing – balance due. Seconded by Teresa. Motion passed.

10. Barry made motion to approve check request in the amount of $450.00 payable to Wildwest performers for CAWS 2011 balance due. Seconded by Linda. Motion passed.

11. Barry made motion to approve check request in the amount of $248.97 payable to Marcella Cagen for CAWS 2011 centerpieces – additional expense – mirrors. Seconded by Teresa. Motion passed.

12. Linda made motion to approve check request in the amount of $306.00 payable to ABC Print for CAWS 2012 registration forms. Seconded by Teresa. Passed.

XXVIII. CAWS 2011 – nothing additional

XXIX. CAWS 2012

A. Discussion of whether or not to continue to conduct all business in BP and do conversion later.

B. The artwork that was previously denied for T-shirts (due to tradition violations) is now being used on postcards and fliers. Elizabeth made motion to refer the Union Jack postcard to the Trustees to consider violation of tradition 10 and, should there be such a violation, to suspend all sales presently and in the future. Seconded by Richard. Discussion ensued. Passed.

C. CAWS 2013 –will address at next meeting.

XXX.CAWS 2014 – nothing.

XXXI.New Business – none.

XXXII.11:10PM Executive Session

A. Bob C. will be put forward to the Trustees for a DAL position.

B. Teresa and Tom will be put forward on the WSOT slate.

Director at Large Report to the WSBT

May 11, 2011

Firstly, I would like to thank the WSBT for the opportunity to continue to serve the fellowship in which has saved my life. Since our last meeting I continue to be a very active member of the World Service Office Board.

I feel very grateful to our WSOB Chair, Tom P., for his outstanding leadership and being a strong chairperson. I also must say a huge thank you to our Executive Consultant, John Bodkin. John has been an amazing asset to CAWSO, Inc. over the last several months. He will be greatly missed. I am equally excited about our new DOO, Linda Francisco, with her professional experience, cheery disposition and willingness to learn in her new role. I have enjoyed working with her over the past weeks and look forward to more of that in the future.

Now for me, I have attended all WSOB meetings (except for one – pneumonia) since our last time together. I have been in good communication with the conference committee’s and Ad-Hoc Committees that I sit on – Finance, LFC, and WSOB Translations Ad – Hoc Committee.

I have been very active in the WSOB Ad-hoc Translation sub-committee. My role has included coordinating communications and information with our Translation Company, WSOB and the European Trustee. We have received back from our Translation Company our corrected versions of Swedish, Dutch and Farsi in which the local translation committee’s will review for approval. We have just received back approval corrections in Farsi (which now go back to Kern Communication and then voted on at the WSOB for final approval). This continues to be a very exciting time for CA’s growth and carrying the message for our worldwide fellowship. We continue to be active with our new projects ahead of us with more pieces from Sweden and with Polish pieces going forward.

I have attended LCF conference calls to help liaison between the WSOB and LCF. I believe with our new DOO in place the LCF publication pieces will continue to move ahead.

Again, it is always a pleasure to have the opportunity to be of service.

WORLD SERVICE OFFICE TRUSTEE REPORT

May 12, 2011

This is my last written report expressing my special thanks to John B. for all his Service to CA here on the West Coast. The WSOB Chair, a Trustee, the WSO Executive Consultant and just a really regular nice guy. We’ll miss you and I hope you take a coffee or clean up commitment back east. PS Don’t forget to start a meeting too! We’ll miss you

  • WSBT would like to have our Financials and all Quarterly reports

I want to thank the fellowship for the opportunity to serve.

Have been in touch with the Chair and the Executive consultant, the NEW DOO and the WSOT regarding need of banking and financial (signing checks and going over financials ect )

Went to Wells Fargo to clear up banking fees .( Trying to reduce fees ) Opened savings account linked to one of the checking accounts with $100 that will automatically go back and forth month by month to avert fees. Transferred $3000.00 from Savings to Operating for payment of legal fees.

Started filling out the HSBC paperwork have to contact HSBC in New York to get things going Have been in contact with my new HSBC person Andrea in New York . I am trying to get the paperwork forwarded to her (however she has warned me that it is a difficult and maybe fruitless process being a nonprofit)

Spoke with Wells Fargo FX which is their Foreign Exchange department. We can obtain drafts(checks in Sterling UK money) for $30 a draft and wire funds for $15 online through their online service. We already have a even year account ready to go for that.

Spoke with American express and am getting info for there foreign exchange service ( the person over the phone explained it to me and seems similar to Wells Fargo.

I have been in contact with the DOO about the transfer of fund (remaining in the UK less the $500 (335 pounds)

petty cash. (Still waiting)

Came by the office a few times time to check in with the office and signed checks ect .

Quarterly Report

May 2011

I. I am happy to have the opportunity to serve the Fellowship on the WSOB.

II. Standing in as Secretary: took regular meeting minutes; kept minutes and reports updated on the Yahoo group and forwarded to WSOT.

III. Worked with Translations Sub-Committee to get various pamphlet translations approved and published.

IV. Participated in selection of DOO candidates to be forwarded to WSBT.

V.  Participated in DAL interview.

VI. Conference Committee: Attended April Conference call. Will be in attendance at committee meeting at Convention.

VII. S&B: Participated in Conference calls. Will be participating in conference call on Sunday May 15.

VIII. Began working on organizing and preparing WSOB Conference referrals.

IX. Thank you for letting me be of service.
