Minutes of the Meeting of

CA World Service Office Board of Directors

November 8, 2012

I. Opening. Meeting called to order with the “we” version of the Serenity Prayer at 7:04pm by Chair, Teresa N.

II. Tradition 7 – Read by Ira L.

III. Concept 7 – Read by Kathy Jo R.

IV. Birthdays – None

V. Roll call and Quorum Determined

A. Voting Members Present: Teresa N. (WSOB Chair), Richard L. (WSOB Vice-Chair), Linda F. (DOO), Barry J. (WSOB Treasurer), Susan D. (WSOB Secretary), Bob C. (Director at Large), Kathy-Jo R. (WSOT), Ira L. (WST). A quorum is established.

B. Board Members Absent: DRPD (vacant)

VI. Guests Present: Sandra R.

VII. Approval of the minutes of the prior meeting

A. Barry J. motions to approve the minutes from October 25, 2012. Seconded by Richard L. Motion passes unanimously.

VIII. Seventh Tradition

IX. Guest Reports: Sandra R. introduced herself, and might be interested in joining the WSOB

X. Online Business: None

I. Old Business

A. WSOB Director Openings – We have 2 openings and are always accepting applications!

B. Website

1. The links to the new website have been sent to LCF and WSBT for review

2. Susan D. will compare the WSM quotes on the website to the WSM 2012 to ensure everything is correct. She will do this over Thanksgiving break and report at the next meeting.

C. C.A. Trademark Challenge – Scotland – Bob C.

1. Ira L. is concerned about continuing to go through with this process with the large expense attached

2. Bob C. will speak to our attorney to see if he can get some type of budget for the remainder of this process. He also reminds us this is a one time only cost, not an annual cost, and extremely important.

3. Barry J. mentions that we should get some sort of ballpark figure of the expenses for attorneys fees prior to going through with any process

4. Bob C. reminds us legal expenses are not something we can easily cut back on. If we need to do it, then we need to follow through. He mentions the budget line item for legal expenses are likely to be skewed because random expenses pop up.

D. Recording Contract – Ira L.

1. The WSBT discussed and tabled this topic to be discussed further at the board to board meeting in December.

2. Ira L. believes the conference committee should be in charge of the recording the conference, and this should be done in house

3. Ira L. also hopes the convention recording could be rolled into the convention responsibilities by 2014.

4. He will work with Kathy Jo R. on developing a contract for the 2013 speaker recorder and the 2013 conference. After the draft is developed, they will send it to the WSOB for input.

5. Kathy Jo R. mentions we would want to draft a referral to the committees at the next conference to add this into their responsibilities.

II. Online Business – None

III. Financial Fundraising Ad-Hoc Committee – Richard L., Bob C., Susan D., Kathy-Jo R., Barry J. & Linda F.

A. Susan D. reported the committee ordered stickers and postcards for the 30-4-30 program. We hope to have these go out after gratitude month.

A. DOO Report – Linda F. – Submitted written & verbal report (see committee and ad-hoc reports)

1. Linda F. will work with Barry J. and Ira L. on negotiating an upgrade of our Neopost program

B. Chair – Teresa N. – Submitted written & verbal report (see committee and ad-hoc reports)

1. Worked with Linda F. to review resumes for the special projects coordinator position. Will be scheduling interviews soon.

C. Vice-Chair – Richard L. – Submitted verbal report (see committee and ad-hoc reports)

D. Treasurer – Barry J. – submitted written and verbal report (see attached)

1. Operating  $12,958.44

2. Even Year  $13,130.99 EY Petty Cash $546.84

3. Odd Year  $9,826.84 OY Petty Cash $488.00

4. Savings #862 (Prudent Reserve) $50,201.75

5. Savings #372 (Publications Fund) $25,002.91

7. Barry J. motions to transfer $5,000 from savings to operating. Seconded by Susan D. Motion passes unanimously.

F. Director at Large – Bob C. – submitted verbal report (see committee and ad-hoc reports)

V. Trustee Reports

A. WSO Trustee – Kathy-Jo R. – submitted written and verbal report (see committee and ad-hoc reports)

1. Quarterly reports due November 20!!

2. Linda F. will pull the contract with frogspawn to find out if our PSA can be used on their website

3. Another concern is that our logo is being used on a list of clients they have. Kathy Jo R., Ira L., and Bob C. will look into what type of action should be taken on this.

4. Kathy Jo R. will set the 2015 steering committee resume deadline as March 15, 2013

B. WS Trustee – Ira L. – submitted written and verbal report  (see committee and ad-hoc reports)

1. Discussion regarding the building lease. Bob C. suggests we make the lease 5 years, as opposed to 3 years as presented.

2. Barry J. motions we accept the counter proposal submitted by Watson Land Company for the CAWSO building lease. Seconded by Ira L. Motion passes, opposition noted

3. Discussion regarding the PSA. How to spread the word? How can we help the areas? Bob C. suggests the new employee take charge of this. They can set up PSA in the area that calls. Ira L.

Barry J. motions to extend the meeting past the normal meeting time. Seconded by Susan D. Motion passes unanimously.

A. 38 Registrants!

B. Concerns regarding the CAWS 2013 meeting minutes

C. Linda F. will contact Kenny W. regarding his activity with the CAWS 2013 committee

VIII. CAWS 2014 – Linda F. – Nothing New

IX. CAWS 2015 – Linda F.

A. Richard L. suggests the ad hoc committee consist of the WSOB Chair, WSOT, WST, and WSOB Treasurer. They will work out a time that works for all of them to do a site visit.

X. CAWS 2016 – Linda F.

A. Seeking chair resumes

XI. New Business – None

XII. Executive Session

A. Motion made by Linda F., seconded by Susan D., to approve spending for Holiday bonuses for employees and special vendors.

B. Selected 3 top chair candidates to be forwarded to the CAWS Convention selection committee

XIII. Next meeting: December 13 (Board to board Dec 1)

XIV. 11:16 pm Motion to Adjourn made by Susan D. Seconded by Barry J., Passed unanimously.

XV. Meeting closed at 11:16 pm by Chair, Teresa N., with the “we” version of the Serenity Prayer.
