Minutes of the Meeting of

CA World Service Office Board of Directors

January 24, 2013

I. Opening. Meeting called to order with the “we” version of the Serenity Prayer at 7:00pm by Chair, Teresa N.

II. Tradition 10 – Read by Michael T.

III. Concept 10 – Read by Shelia S.

IV. Birthdays – None

V. Roll call and Quorum Determined

A. Voting Members Present: Teresa N. (WSOB Chair), Richard L. (WSOB Vice-Chair), Linda F. (DOO), Barry J. (WSOB Treasurer), Susan D. (WSOB Secretary), Bob C. (Director at Large), Kathy-Jo R. (WSOT), Ira L. (WST). A quorum is established.

B. Board Members Absent: DRPD (vacant)

VI. Guests Present: John W. (Special Projects Coordinator), Shelia S. (Special Worker), Michael T. (CAWS 2014 Treasurer), David B. (CAWS 2014 Chair), Kenny W. (ASR Trustee via skype)

VII. Approval of the minutes of the prior meeting

A. Richard L. motions to approve the minutes from January 10, 2013. Seconded by Barry J. Motion passes unanimously.

VIII. Seventh Tradition

IX. Guest Reports:

A. John W. reported his progress on the HFC II Swedish book. He has been in contact with members in Sweden, and hopes the book will be ready for trustee approval this weekend.

B. A footnote has been added to HFC II Swedish to explain the translation of “H&I” in Swedish. This is because H&I translates to S&I in Swedish, but the Swedish fellowship still uses “H&I”.

C. Three bids were collected for the printing of HFC II Swedish.

D. Susan D. motions to approve the bid for RR Donnelley to print the HFC II Swedish books, with Tom P. taking the books to save on shipping. Seconded by Richard L. Motion passes unanimously.

E. David B. brought a few check requests for the boards approval.

F. Discussion regarding Michael T., current CAWSO bookkeeper, and his position as CAWS 2014 co-treasurer. Ira L. discusses potential problems, which can occur holding both these positions at the same time. Barry J. believes it is a conflict of interest. Bob C. mentioned Michael T.’s job position does not currently allow him to sign checks, write checks, and since the convention is the WSO’s convention, and therefore he should be able to hold the job as CAWS 2014 co-treasurer, because there is no conflict or appearance of conflict. There is nothing in the guidelines stating both positions cannot be held at the same time. Kathy-Jo R. mentions she believes it is important Michael T. is not a check signer for the convention to avoid any potential conflicts. Bob C. mentions he would like to revisit this during the board to board.

G. Kenny W. skyped in and informed the board he attended the CAWS 2013 convention committee meeting. He reiterated the timelines and what is needed. He encouraged them and reminded them they are just hosting the convention for World. The board reminded Kenny W. of the overdue items, including the memorabilia product requests, which are over a month late.

A. WSOB Director Openings – We have 2 openings and are always accepting applications!

B. New Contributions to Prudent Reserve/Savings

1. Barry J. will send information to Susan D. and Linda F. to update the WSOB manual.

C. Website

D. C.A. Trademark Challenge – Scotland – Bob C.

1. This agenda item is staying on to ensure it is not dropped, but no additional action is being taken at this time

II. Online Business – None

III. Financial Fundraising Ad-Hoc Committee – Richard L., Bob C., Susan D., Kathy-Jo R., Barry J. & Linda F.

A. The book covers added to the website

B. The committee is working on a thermometer poster to encourage people signing up for the world contribution program

C. Susan D. motions that the WSO creates an email announcement to be distributed by the Regional trustees to their region notifying the members of the early bird registration date and specials. Seconded by Richard L. Motion passes unanimously.

D. Linda F. will work on this email

E. The committee also recommends the convention and conference registration forms adds a box regarding if the member is willing to be contacted via email. Linda F. will speak to both committees.

IV. Recording Contracts – Ira

A. Discussion regarded the convention recording agreement with HP audio. Teresa N. will speak to additional contacts to see if they are interested in the contract.

V. Office Director Reports

A. DOO Report – Linda F. – Submitted written & verbal report (see committee and ad-hoc reports)

1. Discussion regarding the hotel room block. The hotel and the room block is sold out for Thursday night. Teresa N.

2. Rob W., Earl H., Kathy-Jo R., and Linda F. will be visiting Las Vegas Feb 18-20.

B. Susan D. motions to suspend the rules to extend the meeting past the normal meeting time. Seconded by Ira L. Motion passes unanimously.

C. Chair – Teresa N. – Submitted verbal report (see committee and ad-hoc reports)

1. Teresa N. will be attending the next CAWS 2013 meeting in Florida.

D. Vice-Chair – Richard L. – Submitted verbal report (see committee and ad-hoc reports)

1. Richard L. brought the resume of a book editor the WSO has used in the past.

2. Susan D. motions that Richard L. goes back to the vendor to get a bid of how much it will cost to complete the editing of the meditation book. Motion passes, opposition and abstention noted.

3. Linda F. will also collect additional bids.

E. Treasurer – Barry J. – submitted written report (see committee and ad-hoc reports)

1. Bob C. brings up the concern of meeting literature commitment at many meetings, and how it is falling by the wayside. He suggests LCF create a suggested reading for the literature person to say during their announcement.

1. Ira L. motions that the WSOB gives Ira L. the authority to sign the amended CAWSO lease. Seconded by Linda F. Motion passes unanimously.

1. Held a special proof reading committee, and are very close to turning the meditation book over to the trustees for approval.

B. Discussion regarding the memorabilia products

C. Susan D. motions that the board helps CAWS 2013 with the memorabilia by receiving the artwork no later than Monday prior to the next WSOB meeting from the committee and the WSO takes responsibility for creating and producing the memorabilia products. Seconded by Barry J. Motion passes, abstention noted.

D. Susan D. motions that the board gives the CAWS 2013 committee the deadline for the grid by the Monday prior to the next WSOB meeting. Seconded by Bob

IX. CAWS 2014 – Linda F.

A. Check Requests:

1. SR001 Motion by Barry J. to approve check request, in budget, for the amount of $168.55, payable to Maria Brown, for save the dates card. Seconded by Richard L. Motion passes unanimously.

2. SR002 Motion by Barry J. to approve check request, in budget, for the amount of $660.66, payable to Patty Flanagan, for limited edition pre convention memorabilia. Seconded by Richard L. Motion passes unanimously.
